1. Agreement

By accessing or using the QuietLoops website (the “Service”) and purchasing any subscription or digital product offered by QuietLoops (“we”, “us”, “our”), you (“Customer”) agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Services

We provide SaaS subscriptions and one-time digital download products, including but not limited to AI-powered productivity tools, templates, design assets, prompt libraries, and e-books.

3. Account

Some products require account registration. You are responsible for maintaining the confidentiality of your account credentials and for any activity under your account.

4. Payment

All payments are processed through Stripe. Prices are listed in US Dollars (USD) unless otherwise stated. Subscriptions renew automatically until cancelled. You may cancel a subscription at any time from your account page or by contacting support.

5. Refunds

Refund eligibility is described in our separate Refund Policy.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose
• Reverse engineer, decompile, or copy the Service
• Redistribute, resell, or share digital products without written permission
• Use automated means to access the Service in violation of these Terms

7. Intellectual property

All content, branding, software, and digital products provided by QuietLoops are the intellectual property of QuietLoops or its licensors, protected by applicable copyright and trademark laws. Purchase of a digital product grants the Customer a non-exclusive, non-transferable, personal-use license unless otherwise stated.

8. Disclaimer of warranties

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by applicable law, QuietLoops shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service. Our total liability shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

11. Governing law

These Terms are governed by the laws of Japan, without regard to its conflict of law principles. Any dispute shall be resolved in the courts located in Tokyo, Japan.

12. Changes

We may update these Terms from time to time. Material changes will be announced via the Service or by email. Continued use after changes constitutes acceptance.
